This Policy applies to all of the products, services, and websites such as UberSquare.com that are offered by Causeware LLC(collectively, Causeware's "services"). By using Causeware services, you agree to be bound by the following terms and conditions(the "Terms of Service").

Causeware reserves the right to update and change the Terms of Service from time to time without notice. Any new features that augment or enhance the current Causeware services, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of Causeware services after any such changes shall constitute your consent to such changes. Please review the Terms of Service from time to time so that you will be apprised of any changes.

Account terms

• You may not interfere with the security of, or otherwise abuse Causeware services or any system resources, services or networks connected to or accessible through Causeware services. You may only use Causeware services for lawful purposes.
• You must be 13 years or older to use Causeware services.
• You are responsible for maintaining the security of your account and password.
• You must be a human. The use of Causeware services by automated methods such as "robots" are not permitted.
• You understand that all messages, postings, images, photos, video, text, files, sounds, or other materials ("Content") posted on, transmitted through, or linked from Causeware services, are the sole responsibility of the person from whom such Content originated. You are entirely responsible for each individual item of Content that you post, email or otherwise make available via Causeware services. You understand that Causeware does not control, and is not responsible for Content made available through Causeware services, and that by using Causeware services, you may be exposed to Content that is offensive, indecent, inaccurate, misleading, or otherwise objectionable. Furthermore, Causeware services and Content available through Causeware services may contain links to other websites, which are completely independent of Causeware. Causeware makes no representation or warranty as to the accuracy, completeness or authenticity of the information contained in any such site. Your linking to any other webites is at your own risk. You agree that you must evaluate, and bear all risks associated with, the use of any Content, that you may not rely on said Content, and that under no circumstances will Causeware be liable in any way for any Content or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed or otherwise made available via Causeware services. You acknowledge that Causeware does not pre-screen or approve Content, but that Causeware shall have the right (but not the obligation) in its sole discretion to refuse, delete or move any Content that is available via Causeware services, for violating the letter or spirit of the Terms of Service or for any other reason.
• Causeware services and Content available through Causeware services may contain features and functionalities that may link you or provide you with access to third party content which is completely independent of Causeware, including directories, servers, web sites, networks, systems, products or services, information and databases, applications, software, programs, and the Internet as a whole. Your interactions with organizations and/or individuals found on or through Causeware services, including payment and delivery of services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organizations and/or individuals. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties. You agree that Causeware shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between participants on this site, or between users and any third party, you understand and agree that Causeware is under no obligation to become involved. In the event that you have a dispute with one or more other users, you hereby release Causeware, its officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and / or our service. If you are a California resident, you waive California Civil Code Section 1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor."
• You agree not to post, email, or otherwise make available content:
  • that is pornographic;
  • that is false, misleading, deceptive, misinformative, deceitful, or constitutes "bait and switch";
  • that harasses, degrades, intimidates an individual or group of individuals on the basis of race, age, religion, sexual orientation, gender, ethnicity, or disability;
  • that impersonates any person or entity;
  • that violates federal, state, or local equal employment opportunity laws, including but not limited to, stating in any advertisement for employment a preference or requirement based on age, race, color, national origin, religion, sex, or disability;
  • that constitutes or contains "spam" or unsolicited commercial advertisement;
  • that is harassing, unlawful, threatening, abusive, harmful, defamatory, libelous, invasive of another's privacy, or is harmful to minors in any way.

Payment Terms

Your purchase of Causeware services credits are billed immediately and is non-refundable. There will be no refunds or credits for partial usage of Causeware services, unused credits or partial account usage.

Cancellation and Termination

Causeware, in its sole discretion, has the right to delete or deactivate your account, block your email or Internet Protocol address, or otherwise terminate your access to or use of Causeware services, immediately and without notice, and remove and discard any Content within Causeware services, for any reason, including, without limitation, if Causeware believes that you have acted inconsistently with the letter or spirit of the Terms of Service. Such termination of your access to or use of Causeware services will result in the forfeiture and relinquishment of all features and credits in your account. Further, you agree that Causeware shall not be liable to you or any third-party for any termination of your access to Causeware services.

Intellectual Property Policy

Causeware will respond to notices of alleged infringement, subject to the the procedures outlined in the Digital Millennium Copyright Act (DMCA). Please note that you will be liable for damages (including costs and attorneys' fees) if you materially misrepresent that a product or activity is infringing your copyrights.

Causeware disclaims any and all responsibility or liability for the accuracy, content, completeness, legality, reliability, or operability or availability of information or material displayed in the Causeware services results. Causeware disclaims any responsibility for the deletion, failure to store, misdelivery, or untimely delivery of any information or material. Causeware disclaims any responsibility for any harm resulting from downloading or accessing any information or material on the Internet through the Causeware services.

The Causeware services, and all materials, information, products and services included in the Causeware services are provided "as is," with no warranties whatsoever. Causeware and its licensors expressly disclaim to the fullest extent permitted by law all express, implied, and statutory warranties, including, without limitation, the warranties of merchantability, fitness for a particular purpose, and non-infringement of proprietary rights. Causeware and its licensors disclaim any warranties regarding the security, reliability, timeliness, and performance of the Causeware services. Causeware and its licensors disclaim, any warranties for any information or advice obtained through the Causeware services. Causeware and its licensors disclaim any warranties for services or goods received through or advertised on the Causeware services or received through any links provided by the Causeware services, as well as for any information or advice received through any links provided in the Causeware services.

You understand and agree that you download or otherwise obtain material or data through the use of the Causeware services at your own discretion and risk and that you will be solely responsible for any damages to your computer system or loss of data that results from the download of such material or data.

Limitation of Liability

Under no circumstances shall Causeware or its licensors be liable to any user on account of that user's use or misuse of or reliance on the Causeware services. Arising from any claim relating to this agreement or the subject matter hereof such limitation of liability shall apply to prevent recovery of direct, indirect, incidental, consequential, special, exemplary, and punitive damages whether such claim is based on warranty, contract, tort (including negligence), or otherwise, (even if Causeware or its licensors have been advised of the possibility of such damages). Such limitation of liability shall apply whether the damages arise from use or misuse of and reliance on the Causeware services, from inability to use the Causeware services, or from the interruption, suspension, or termination of the Causeware services (including such damages incurred by third parties). This limitation shall also apply with respect to damages incurred by reason of other services or goods received through or advertised on the Causeware services or received through any links provided in the Causeware services, as well as by reason of any information or advice received through or advertised on the Causeware services or received through any links provided in the Causeware services. This limitation shall also apply, without limitation, to the costs of procurement of substitute goods or services, lost profits, or lost data. Without limiting the foregoing, under no circumstances shall Causeware or its licensors be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, Internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties, or loss of or fluctuations in heat, light, or air conditioning.

Indemnity

You agree to indemnify and hold Causeware, its officers, subsidiaries, affiliates, successors, assigns, directors, officers, agents, service providers, suppliers and employees, harmless from any claim or demand, including reasonable attorney fees and court costs, made by any third party due to or arising out of Content you submit, post or make available through Causeware services, your use of the Causeware services, your violation of the Terms of Service, your breach of any of the representations and warranties herein, or your violation of any rights of another.

Miscellaneous Provisions

The Terms of Service will be governed by and construed in accordance with the laws of the State of Washington, without giving effect to its conflict of laws provisions or your actual state or country of residence. Causeware makes no representation that materials or services at Causeware services are appropriate or available for use outside the United States, and access to them from territories where their contents are illegal is prohibited. You may not use or export or re-export the materials or services at Causeware services or any copy or adaptation in violation of any applicable laws or regulations including without limitation U.S. export laws and regulations. If you choose to access Causeware services from outside the United States, you do so on your own initiative and are responsible for compliance with applicable local laws.
